Welcome to Onsides! These Terms & Conditions (“Terms”) govern your access to and use of the Onsides mobile application, website, and related services (collectively, the “Service”). Please read these Terms carefully before using the Service. By creating an account, installing, or using Onsides, you agree to these Terms. If you do not agree, do not use the Service.

1. About Onsides

Onsides is a digital assistant designed to help parents and guardians manage youth sports schedules, event availability, ridesharing coordination, reminders, and related logistics. Onsides integrates with certain third-party platforms (e.g., TeamSnap, SportsEngine) and your device’s native apps (e.g., Calendar, Reminders) to deliver its services.

Note: Onsides is currently offered in a limited beta release and may contain bugs, incomplete features, or temporary limitations.

2. Eligibility

You must be at least 18 years old to use Onsides. By using the Service, you represent that you are legally able to enter into these Terms and are responsible for any activities conducted under your account.

3. Account Registration & Security

You may need to create an Onsides account to access certain features. You agree to:

• Provide accurate and current information.

• Maintain the security of your account credentials.

• Notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account.

4. Third-Party Integrations

Onsides may connect to third-party services, such as team scheduling platforms. By enabling integrations, you authorize Onsides to access and process data from those services in accordance with our Privacy Policy.

Onsides is not responsible for the accuracy, completeness, or availability of data from third-party services, nor for any changes those services make to their features or access.

5. AI Assistant Features

Onsides includes AI-driven features to help identify scheduling conflicts, suggest rideshares, and provide reminders. While we aim for accuracy, the AI’s recommendations may not be perfect, and you should verify all event details and decisions independently.

6. Beta Program & Service Changes

Because Onsides is in beta, features may change, break, or be removed without notice. We may suspend or terminate the Service at any time for any reason, without liability.

7. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, or abusive purposes.

• Attempt to reverse engineer or interfere with the Service.

• Misrepresent your identity or relationship to a team or athlete.

We may suspend or terminate accounts violating these Terms.

8. Intellectual Property

Onsides, including its trademarks, logo, code, and content, is owned by Onsides, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

9. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and share your information.

If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), including the right to request access to, correction of, or deletion of your personal information, and to opt out of certain data uses. Details on how to exercise these rights are available in our Privacy Policy.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your expectations.

[NEW] Nothing in these Terms will limit or exclude any warranties or rights you may have under applicable consumer protection laws, including California’s Consumer Legal Remedies Act (CLRA), that cannot be waived by contract.

11. Limitation of Liability

To the maximum extent permitted by law, Onsides, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenues, arising from your use of the Service.

[NEW] This limitation does not apply to liability for gross negligence, intentional misconduct, fraud, or any other liability that cannot be excluded or limited under California law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Onsides, Inc. from any claims, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

13. Termination

We may suspend or terminate your account and access to the Service at our discretion, including if you violate these Terms. Upon termination, your right to use the Service will cease immediately.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.

[NEW] If you are a California resident, you may bring legal action in the county where you live, or in San Francisco County, California. By using the Service, you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted with a new “Last Updated” date. Your continued use of the Service after changes become effective constitutes your acceptance.
